How to incorporate a non-profit corporation

  • Step 1: File a Request for Name Reservation online with the fee of $45.00 to determine if the name is available. Refer to the Name Reservation page for more information.
  • Step 2: File online or file Articles of Incorporation with the fee of $120.00 before the name reservation expires. Online filing provides the fastest processing times. Detailed information and instructions for completing the Articles of Incorporation is available here.

Note: Many of these documents can be filed online if you either incorporated the corporation or filed a previous Annual Return online. If you have the appropriate access, please file online as it provides the fastest processing times (in many cases the filing will be completed immediately).

  • File Annual Returns - All corporations must file an Annual Return each year with the filing fee of $40.00. These forms are sent to the corporation during their month of incorporation and are due by the end of the following month. The corporation will be dissolved if these forms are not filed for two consecutive years. Click here for more information for filing Annual Returns online.
  • Change the Directors - File online or file a Notice of Change of Directors within 15 days of appointment or resignation of a Director. There is no filing fee.
  • Change the Officers (i.e. President, Secretary, Treasurer, etc.)- File online or file a Notice of Change of Officers. There is no filing fee.
  • Change the Name of a Director or Officer (i.e. surname) - File a letter advising of the individual's new name.
  • Change the Mailing Address - File online or file a Change of Mailing Address to update the mailing and/or email address where Annual Returns are sent. There is no filing fee.
  • Change the Registered Office - File online or file a Notice of Change of Registered Office within 15 days of a change in the location or address of the registered office. There is no filing fee.
  • Change the name of the corporation -
    • Step 1: File a Request for Name Reservation online with the fee of $45.00 to determine if the new name is available.
    • Step 2: File online or file Articles of Amendment with the fee of $60.00 before the name reservation expires. Detailed information and instructions for completing the Articles of Amendment is available here.

How to Dissolve a corporation
There are two ways to dissolve a corporation:

  1. File Articles of Dissolution with the fee of $60.00. Review the instruction guide here.
  2. Submit a letter requesting that the corporation be placed on the next Dissolution list. Once received, the corporation will be dissolved in approximately 90 days. There is no filing fee.

Note: A corporation will be dissolved if it doesn't file its Annual Returns for two consecutive years.
