FORMS CHANGES EFFECTIVE MAY 17, 2003

As part of the government's "Manitoba Business Links - One Business, One Number" initiative, some significant changes in the registration process at The Companies Office will be occurring in order to  have a Business Number ("BN") assigned to every business and corporation registered in Manitoba.  For more information on the BN (formerly known as the "GST" number) and the "Manitoba Business Links - One Business, One Number" initiative, please click here.

There will be changes to virtually all of the forms under The Corporations Act and The Business Names Registration Act, and the processes associated with them. These include:

1. The registration of a business name under The Business Names Registration Act will require disclosure of whether the business already has a BN, and if so, the BN itself. If not, The Companies Office will be using the information collected in order to obtain a BN for the company from Canada Customs and Revenue Agency;

2. The Change of Registrants form (Form 4 under the Business Names Registration Regulation) will no longer apply to the following situations:

(a) Where the business names registration has one registrant prior to the time of the change;

(b) Where the business names registration has more than one registrant prior to the time of the change, and after the change, it will have only one registrant;

(c) Where all existing registrants are being removed, whether replaced by one registrant or more than one registrant;

In these situations, the business will be required to file a Dissolution of a Business Name (Form 3) and a Registration of a Business Name (Form 1) in order to effect the change. A new BN will be obtained and assigned;

3. The registration of either an extra-provincial or federal body corporate will require the disclosure of its BN. If the body corporate does not yet have a BN, it will have to obtain one before registration can proceed. If the body corporate does not yet have a BN, staff at The Companies Office will be available to provide some assistance to clients in obtaining a BN expeditiously;

4. Upon the incorporation of every Manitoba corporation, The Companies Office will be using the information collected in order to obtain a BN for the corporation from Canada Customs and Revenue Agency.

For all registration purposes of The Companies Office, disclosure of the root of the BN (the first 9 digits) will suffice.

The exact date that the Companies Office will begin obtaining BN's for companies registering with it is still to be confirmed.  However, the new forms and rules surrounding them will come into effect on May 17, 2003.
