A cooperative is a business democratically governed by its members who have committed to its success. Business and Economic Development provides key development information and resources to guide you in how to start and grow your cooperative.

How to Incorporate a Cooperative

  • Step 1: File a Request for Name Reservation online with the fee of $45.00 to determine if the name is available. Refer to the Name Reservation page for more information.
  • Step 2: File Articles of Incorporation with the fee of $250.00 ($70.00 to incorporate a community service cooperative) before the name reservation expires. These forms must be filed by paper.

How to:

  • File Annual Returns - All cooperatives must file an Annual Return each year with the filing fee of $30.00. These forms are sent to the cooperative in January each year and are due by the end of March. The cooperative will be dissolved if these forms are not filed for two consecutive years.
  • Change the Directors - File a Notice of Change of Directors within 15 days of appointment or resignation of a Director. The filing fee is $5.00.
  • Change the Officers - File a Notice of Change of Officers. The filing fee is $5.00.
  • Change the Registered Office - File a copy of the resolution changing the location of the registered office and a Notice of Change of Registered Office within 15 days of a change in the location or address of the registered office. The filing fee is $5.00.
  • Change the name of the cooperative -
    • Step 1: File a Request for Name Reservation online with the fee of $45.00 to determine if the new name is available.
    • Step 2: File Articles of Amendment with the fee of $135.00 00 ($35.00 to amend a community service cooperative) before the name reservation expires.

How to Dissolve a Cooperative
File Articles of Dissolution with the fee of $35.00.

Note: A cooperative will be dissolved if it doesn't file its Annual Returns for two consecutive years.
